We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on your own devices to journal your own trading, subject to these terms and your access status.
The Software powers Cloud and the separate Private / Local Vault desktop product, which is free during the current request-based early-access stage. Private stores journal content in local SQLCipher-encrypted databases and does not upload it to Demetra Cloud. It uses a signed device-bound lease and may contact Demetra for activation, access/Discord checks, token refresh and updates. Those calls do not include journal content. The database key and backup key envelope are protected for the current Windows user with DPAPI.
The Software is licensed, not sold. All intellectual-property rights in it remain with Demetra. Your trading data created with the Software remains yours.
The Software may auto-update to stay compatible and secure. It may include third-party open-source components under their own licences; those licences continue to apply to those components.
The Bridge and MT5 connector run on your machine and interact with your broker terminal. You're responsible for complying with your broker's and MetaQuotes' terms. Demetra doesn't place trades and isn't a broker.
In Private, you are responsible for securing the Windows account/device and keeping local backups. Access secrets, the lease cache and the SQLCipher database key are protected with Windows DPAPI. A backup can only be restored by the same Windows user unless a separate recovery mechanism is provided later.
The Software is provided "as is", without warranties. To the extent allowed by law, Demetra isn't liable for damages arising from its use, including trading losses or data loss — keep your own backups.
If the granted Private early-access period expires, Private journaling locks until access is extended; the local journal is not deleted and local backup/export remains available. If this licence is terminated for breach, you must stop using and remove the Software. Your server-side export/deletion rights under the Privacy Policy are unaffected.
